NEW YORK, NY – March 10, 2026 – Sara Hanks, a former SEC staffer, who has had a significant influence on the development of Regulation A, was appointed as an Advisory Team Member of KoreInside. Regulation A, often referred to colloquially as “Reg A+” is one of the three major exemptions from registration created or amended by the JOBS Act of 2012 that legalized online capital formation or securities crowdfunding.

Hanks was Co-Founder and CEO of CrowdCheck. CrowdCheck, now part of Kingscrowd Advisory, Inc., provides due diligence and compliance services for online capital formation. Its services help entrepreneurs and project sponsors through the disclosure and due diligence process, give investors the information they need to make an informed investment decision and avoid fraud and help intermediaries avoid liability. As an attorney with more than 40 years of experience in the corporate and securities field, Hanks is also the Founding Partner of CrowdCheck Law.

Prior to founding CrowdCheck, Hanks served as General Counsel of the bipartisan Congressional Oversight Panel, the overseer of the Troubled Asset Relief Program (TARP). Before that, she spent many years as a partner at Clifford Chance, one of the world’s largest law firms. While at Clifford Chance, she advised on capital markets transactions and corporate matters for companies throughout the world. Hanks began her career with the London law firm Norton Rose. She later joined the Securities and Exchange Commission and as Chief of the Office of International Corporate Finance led the team drafting regulations that put into place a new generation of rules governing the capital-raising process, Regulation S and Rule 144A.
Hanks received her law degree from Oxford University and is a member of the New York and D.C. bars and a retired Solicitor of the Supreme Court of England and Wales. She has served three terms on the SEC’s Advisory Council for small companies. She held a Series 65 securities license as a registered investment advisor for many years. She is excited to bring her expertise to KoreInside.

Regulation A is an exemption from registration for public offerings that was enhanced by the JOBS Act. Reg CF (Regulation Crowdfunding) initially allowed issuers to raise just $1 million (now $5 million) in exempt offerings, while Reg A+, allowed firms to raise up to $50 million (now $75 million) – a more viable amount for later-stage companies.
While Reg D has always been a securities exemption allowing for an unlimited amount to be raised, it is only available to accredited investors. Reg A+, along with Reg CF, permits both accredited and non-accredited, or retail, investors to invest in securities offerings.
Initially described as a mini-IPO type offering, Reg A+ quickly caught the interest of both issuers and supporting firms, like broker-dealers, boutique banks, etc., because of its scaled disclosure (reduced cost) and the ability to raise a higher amount than Reg CF.
Private capital markets are growing rapidly – but the infrastructure behind them remains fragmented. Issuers, broker-dealers, transfer agents, ATSs, RIAs, and funding platforms still operate across disconnected systems, creating compliance risk, operational friction, and investor confusion.
